I am looking for forms for my wife to begin a small business venture producing custom garments and selling them herself via web page - would like to know which corporation type would be appropriate to begin such a venture. She would like to trademark or otherwise protect her business name and the garment designs. Will appreciate your expounding on the appropriate corporation, forms package, and any suggested layman resources on operating a small business of this caliber operation.

I'm completing the bylaws form for TX. It says 'In Article IV, Section 1, you must name the officers, such as President, Vice-President, Secretary and/or Treasurer. The same individual may hold two or more offices, except that the same person cannot be both the President and the Secretary unless there is only one stockholder. Field [8]-Name officers of the corporation. You should have a President and a Secretary. The same individual may hold two or more offices.'Can I be the President and Secretary although there are other shareholders? If not, what can I do ?

Court order to dissolve a corporation of a sole practitioner and sole director, who died in 2009 and discontinued practicing in 2007/2008 I need a Court Order granting dissolution of a law corporation for a sole practitioner, sole director, who died in 2009 but was not practicing since 2007/2008. She had an office with her husband, also an attorney, with whom she was co-counsel on most of her cases.

I want to start a business that will sell goods and products obtained from a Christian orphanage and surrounding villages in Africa. The products will be mostly sold in the US. I want to donate approximately 25% of the profits back to the orphanage. I would keep the remaining 75% for my own livelihood and to sustain the company. The business will be operated from my home and via the internet. Would this qualify for a nonprofit business or should I set up a LLC? I do want to make a profit but plan to donate a generous portion back to the orphanage. I am hoping to expand this concept working with other philanthropic ministries as well. Please advise on how to set up this business. Also, can you recommend a business forms package in conjunction with your advice?

I have a corporation (I am the only owner) that was formed about 5 years ago while doing some consulting work. It has largely been dormant the last several years and has not had all of its required meetings, etc. Is there a way I can go back and 'clean up' or is this corporation too badly 'broken'?
