Is a release valid if I was unaware of a patent during litigation?
I sued a company for breach of contract- failing to pay me. I won, and the company went into bankruptcy. In bankruptcy court a settlement and release was created. Several years later, I found out that my original invention was patented by the company. The disclosure documents to the USPTO were indeed my original blueprints. The litigation did not deal with that patent at all, and I did not know that it was filed. So, even though we have a release and settlement, I did not know of the filing while we were litigating and I signed the release. Is this release valid or fraudulent-bad faith? Do I have the ability to sue the new company that purchased the defendant company at this time, now that I observed that there is a patent. A final bit of info, the 'so called' inventor stated and misrepresented or lied to the USPTO that he was the inventor while he was never the true inventor. In a California Cooperation when a shareholder signs a RIGHT OF FIRST REFUSAL, does a shareholders spouse have to sign off all her rights to all the property that is included in the RIGHT OF FIRST REFUSAL?
Can I sue my S Corp partners for repayment of a loan after resigning?
I am a share holder in a s corp no buy out clause but but had to resign due to health issues (major heart problems) I have a $194,000.00 loan in the books but no contract on paying it back, I am 25% of 4 people? Book value of company $300,000 in equity. the loan is also mentioned in the corporate minutes, due I have to sue to get paid? Which I am told will cost around $100,000 to $200,000. I resigned since my partners new of my health conditions I did not think there would be a problem (wrong) they locked me out voted in large raises and keep telling me later.
Does the buyer pay the salon's credit card debt separately from the sale price?
We are selling our Salon (LLC) which has a business credit card debt. Does the buyer write two checks, one for the sale of the salon and one for the business loan payoff?
Can a public utility hold a landlord responsible for a tenant's unpaid bill?
In Ohio, for a commercial property, can a public utility hold the landlord reponsible for the delinquent utility bill that was in the tenant's name. The city of Bethel has an ordinance (1290) on their books that says they can and they are threatening to turn it over to the county auditor for collection. As the landlord, we never made any agreement with the utility that we would be responsible for the utilities in the event of our tenant default, nor were we notified of any delinquency until now, five months after the account became delinquent.
