When a member resigns from a limited liability company (LLC), the terms of the operating agreement govern the process. In Colorado, a member can resign at any time by providing written notice to the other members, unless the operating agreement states otherwise. If the resignation violates the agreement, the LLC may seek damages from the resigning member (Colo. Rev. Stat. § 7-80-104).
If your resignation was accepted by the remaining members, you might not be liable for any outstanding contracts of the LLC. However, if you personally guaranteed any debts of the LLC, you could still be held responsible for those obligations.
