Is my corporation obligated to pay a contract if the service is closed?
I signed a 'memo of understanding' with another owner of a corporation (corp to corp) for a two year contract for support management services; which said, 'cannot be canceled for any reason'. My corporation, due to financial losses, cannot continue to service the monthly agreed amount and will now close that arm of service for which the contract was signed, but remain in business from other contracts. Is my corporation obligated to continue to pay on the contract if the service for which the contract agreement was signed is no longer a functioning business product of my corporation?
Can we have clients sign a form for remote access consent?
We are a CPA firm that frequently takes remote control of client computers to perform accounting services. For many clients we also have remote access to servers and workstations at any time to perform requested services. We need to find out if there is a legal form we can have clients sign acknowledging that they are aware that we have access and that they are ok with it.
What documents do I need to collect my commission from a bankrupt company?
I am owed $1,000.00 from a company I used to do work for and had agreed to sell product for after I left. I was to be paid 5% commission for parts sold. I sold these parts to a company I do consulting work for. My old company is now bankrupt but, the company I sold these parts to owes them for parts they received from my old company. What type of documents do I need to give to the company that received the parts so they can withhold the $1,000.00 that is owed me before they pay the old company for the parts? The company is willing to do this for me as long as they are not going to have a legal problem with the bankrupt company.
How Can I Accept a Check Marked Payment in Full Without Making an Accord and Satisfaction?
I have received a check for a portion of a debt that is undisputed, but not for the entire amount of the remaining debt that is disputed. On the check, the debtor wrote 'Payment in full for all debts due (my name inserted here), on both the front of the check, and at the top of the back for the check in the endorsement area. The check was accompanied by am 'Unconditional Waiver and Release Upon Final Payment' release form for me to sign. My question is, if I cash this check with the statements about payment in full struck out, will this constitute and accord and satisfaction? Does the inclusion of the Unconditional Waiver and Release Upon Final Payment with the check make CA Civil Code 1526 (c) valid since it the check was issued with this release of claim letter, or do actually have to sign the release of claim letter?
How can I get paid for my work as a subcontractor?
I am a electronics installation contractor for 37 years. I did an installation on a U.S. military base in Illinois for this job in Aug.2009. i was a subcontractor.a contractor in Florida was given the job to expedite by the project managing company in Ohio. the day the job was complete the director at the military base said i did a great job and thank me a lot. After 3 months the subcontractor in Florida says the military was not happy with the job but paid the invoice to the project manager. The project managing company supposedly won't pay the contractor and he won't pay me.i had to communicate with both company's and received parts shipped from the project manager in Ohio. How can these ripoffs be made to pay me.
